1. Who we are & definitions
“MoveGuide”, “we”, “us” — Surged Ltd, trading as MoveGuide, company number 16318773, registered at 3rd Floor, 86-90 Paul Street, London, EC2A 4NE.
“Partner”, “firm”, “you” — the law firm or licensed conveyancing practice named in the onboarding application. “Lead” — a mover's enquiry we deliver to you, including their contact details, move details and the instant quote presented under your fee scales. “Credit” — one prepaid lead entitlement held in your MoveGuide wallet.
By ticking the acceptance box on the onboarding application (or by continuing to receive leads after we notify you of updated terms) you agree to these terms on behalf of the firm.
2. The service
MoveGuide is a conveyancing quote-comparison and lead-generation service. Movers give us their move details; we generate instant fixed-fee quotes for a shortlist of matched firms — including yours, using the fee scales you maintain — and deliver the mover's details to those firms.
We are not a law firm and do not provide legal services. The retainer for any conveyancing work is exclusively between you and the mover.
3. Your account & eligibility
- You must hold current authorisation from the SRA, CLC or an equivalent UK regulator, and maintain professional indemnity insurance appropriate to your practice. Tell us promptly if either lapses.
- Everything you submit at onboarding and keep in the portal (contact details, coverage, fee scales, review links) must be accurate and kept up to date.
- Keep portal credentials and API keys confidential. You are responsible for actions taken through your account.
4. Lead pricing & payment
- Leads are charged per delivered lead: £9 for a standard lead (sale, purchase, remortgage or transfer of equity) and £13 for a combined sale & purchase lead. We will give you at least 14 days' notice of any price change.
- Prepaid firms buy credits in packs; one credit is debited per delivered lead. Credits are non-transferable. Unused credits are refundable on account closure at the price paid, less any credits consumed.
- A paid invoice is issued automatically for every top-up. Invoiced (monthly) accounts are billed on the 1st for the previous month, payable within 14 days.
- You authorise us to charge your saved payment method for auto top-up when enabled (§9).
5. Invalid leads & credits
A delivered lead qualifies for a credit back to your balance only where:
- Invalid contact details: both the telephone number and the email address supplied are incorrect, unreachable or belong to someone other than the mover. If either channel reaches the mover, the lead is valid.
- Duplicate: the same mover for the same transaction was already delivered to you by us, or was already an open client matter at your firm when the lead arrived (evidence may be requested).
Reports must be made through the portal (Leads → Report lead) within 5 working days of delivery. Reports outside that window, or made another way, may be declined. Approved reports are settled as lead credits returned to your balance — not cash refunds — normally within 2 working days of the decision.
A lead is not invalid because:
- the mover didn't answer or hasn't called back (keep trying — see §6);
- the mover chose another firm, or decided not to move;
- the mover said they were "just comparing prices";
- the property value, tenure or other details differ modestly from the form entries;
- you were slow to make first contact.
We monitor report rates. Firms reporting a materially higher share of leads than the network average may be asked for evidence and, where reports are unfounded, have reporting or their account restricted (§10).
6. Your obligations to movers
- Honour your quotes. The instant quote we present is generated from fee scales you control. You must honour it for the matter as described by the mover, adjusting only where the transaction's true facts differ from what was quoted on.
- Contact promptly. Aim for first contact within one working day — ideally much faster. Stale leads harm the mover, your conversion and the network.
- Treat movers fairly and comply with your regulator's rules on client care and pricing transparency.
- Use lead data only to respond to that mover's conveyancing enquiry (§7) — never for unrelated marketing, and never resell or share it.
7. Data protection
Movers consent to their details being shared with matched firms. From the moment we deliver a lead, you are an independent controller of that personal data under UK GDPR: process it lawfully, keep it secure, honour data-subject rights, and delete it when no longer needed. If a mover asks you to stop contacting them, stop.
Report any personal-data breach affecting MoveGuide-supplied data to us without undue delay at info@moveguide.co.uk.
8. Reviews & your public profile
- Review profiles you submit (Trustpilot, ReviewSolicitors, Google, etc.) must be your firm's genuine public profiles. We approve links before display and may remove any link at our discretion.
- You grant us a licence to display your name, logo, ratings and quotes to movers as part of the service.
9. Auto top-up & discounts
- With auto top-up enabled, we charge your saved card for your chosen pack when your credit balance reaches your threshold. Packs bought automatically receive a 10% discount.
- The discount rewards firms that keep auto top-up on. Manual top-ups are full price, and we may withdraw the discount or make the toggle admin-managed where we reasonably believe it is being gamed (for example, repeatedly enabling and disabling around purchases).
- Failed charges are retried with notice to you; repeated failures switch auto top-up off.
10. Suspension & termination
- You can pause lead delivery any time (Lead settings), and close your account with 7 days' written notice. We refund unused prepaid credits at the price paid.
- We may suspend or terminate immediately for: loss of regulatory authorisation, unpaid invoices, misuse of lead data, unfounded systematic lead reports, abusive conduct toward movers or staff, or material breach of these terms.
- Sections 5–7, 11 and 12 survive termination.
11. Liability
- Leads are enquiries, not clients: we do not guarantee volume, quality beyond §5, or conversion. You are responsible for your own vetting (including AML/KYC) of every mover.
- Neither party excludes liability for fraud, or death or personal injury caused by negligence. Otherwise, our total liability to you in any 12-month period is capped at the fees you paid us in the 3 months before the claim arose, and neither party is liable for indirect or consequential loss (including lost profit).
12. Changes, law & contact
We may update these terms; material changes are notified by email or in the portal at least 14 days before they take effect, and continuing to receive leads after that date is acceptance. These terms are governed by the law of England and Wales, with the courts of England and Wales having exclusive jurisdiction.
